1. Nature of the Site and Services (B2B Model)

The Site is a B2B informational and commercial showcase intended exclusively for professionals, importers, distributors, formulators and business partners. It does not constitute an online store and does not allow a sales contract to be concluded directly online.

Any commercial transaction, distribution agreement or license relating to Lys du Nord products is concluded separately, through a written agreement signed independently between the parties, in accordance with Québec and Canadian law.

2. Intellectual Property and Business Assets

All content on the Site (including, without limitation, text, graphics, images, logos, structures, source code, videos and technical documentation) is the exclusive property of Lys du Nord or is used under license. Any reproduction, distribution, modification or commercial use, in whole or in part, without prior written authorization from Lys du Nord is strictly prohibited.

The technologies, support systems, assembly mechanisms, high-precision structures, logistics interfaces, trademarks and aesthetic designs associated with Lys du Nord products are protected under Canadian and international intellectual property laws (including copyright, patents, pending patent applications, trade secrets and industrial designs). Access to the Site does not grant any right or license to use these assets. Any reproduction, copying, imitation, reverse engineering or counterfeiting of our technologies or designs will be subject to immediate legal action before the competent authorities.

3. Accuracy of Information

Lys du Nord strives to keep the information on the Site current and accurate. However, market data, certifications, analyses, dimensions and technical product specifications (notably wood species and manufacturing tolerances) are presented for informational purposes only. The final specifications and guarantees applicable to any order or partnership are exclusively those agreed in writing in the final commercial contract between the parties. Lys du Nord reserves the right to modify, suspend or update the content of the Site at any time without notice.

4. Use of the Contact Form and Communications

The contact form and email addresses on the Site are strictly reserved for legitimate B2B professional inquiries. It is prohibited to use the Site to send unsolicited advertising messages (spam), or messages that are abusive, defamatory, misleading or contrary to Canadian law. Lys du Nord reserves the discretionary right not to respond to inquiries that do not match its target clientele or that do not demonstrate genuine professional interest.

5. Limitation of Liability and Information Security

To the fullest extent permitted under Québec law, Lys du Nord, its officers and employees shall not be liable for any direct, indirect, incidental or punitive damages resulting from the use of the Site, the inability to access it, a service interruption, or any omission or inaccuracy in the information provided.

While Lys du Nord implements security measures to protect the Site, we do not guarantee that the Site is free of viruses, bugs, Trojan horses or other malicious code introduced by third parties. The user is solely responsible for the security of their own computer equipment.

6. External Links

The Site may contain links to third-party sites (government bodies, professional associations, regulatory databases). These links are provided solely for the convenience of the professional user. Lys du Nord exercises no control over the content, privacy policies or practices of these third-party sites and disclaims all responsibility for them.

7. Governing Law and Exclusive Jurisdiction

These terms are governed, interpreted and applied in accordance with the laws of the province of Québec and the federal laws of Canada applicable therein. Any dispute, litigation or claim relating to the use of the Site, the interpretation of these terms, or the company's intellectual property assets shall be submitted to the exclusive jurisdiction of the competent courts of the judicial district of Sherbrooke, province of Québec, Canada.

8. Changes to These Terms

Lys du Nord reserves the right to modify these terms at any time to adapt to legislative or operational changes. The update date at the top of the page will be revised accordingly. Continued use of the Site after the publication of changes constitutes unconditional acceptance of the revised terms.
